These General License Terms (the “Terms”) govern access to and use of copyrighted or otherwise protected digital works made available under the ElectroDesigner brand, including software, web-based applications, engineering tools, calculators, digital publications, ebooks, templates, technical documents, graphics, databases and other digital content (each a “Licensed Work”).
The “Licensor” is the author or other rights holder identified as the seller or licensor on the applicable product page, checkout, receipt or related legal notice. ElectroDesigner is the brand under which the Licensed Works are offered. The person or organisation obtaining or using a Licensed Work is the “Licensee”.
1. Scope and acceptance
These Terms apply unless a particular Licensed Work is accompanied by separate terms that expressly replace them. Product-specific conditions displayed on the relevant product page, at checkout or with the Licensed Work form part of the applicable licence agreement.
By purchasing, activating, downloading, accessing or using a Licensed Work after these Terms have been made available, the Licensee agrees to comply with the applicable licence conditions. Mandatory statutory rights remain unaffected.
2. Licence grant
Subject to payment of any applicable fee and compliance with these Terms, the Licensor grants the Licensee a limited, non-exclusive, non-transferable and non-sublicensable right to use the Licensed Work for the duration, number of users, purpose and access method stated for that Licensed Work.
Unless the applicable product-specific conditions state otherwise, the licence is for one natural person. Ownership of the Licensed Work and copyright are not transferred to the Licensee.
3. Product-specific licence conditions
A Licensed Work may specify additional conditions, including licence duration, authorised user count, permitted commercial or professional use, access method, update entitlement, technical restrictions, organisation or team use, and any included support.
If a product-specific condition conflicts with these General License Terms, the product-specific condition prevails for that Licensed Work.
4. Permitted use
Subject to the applicable product-specific conditions, the Licensee may use the Licensed Work for its intended purpose. Where professional or commercial use is permitted, the Licensee may use the Licensed Work in the Licensee’s own work for an employer, client or organisation without transferring the Licensed Work itself to that third party.
Where a Licensed Work produces calculations, reports, drawings, completed documents or other outputs, the Licensee may ordinarily use those outputs in the Licensee’s own projects unless the relevant product-specific conditions state otherwise. This does not grant a right to redistribute the underlying software, template, database or source material.
5. Prohibited use
Except where expressly permitted by the applicable licence or mandatory law, the Licensee must not:
- sell, sublicense, rent, lease, transfer or redistribute the Licensed Work;
- share a personal licence, activation key, account or access credential with another person;
- make the Licensed Work available for download, copying or use by unauthorised third parties;
- remove or obscure copyright, attribution or proprietary notices;
- circumvent licensing, authentication, technical protection or access-control mechanisms;
- reverse engineer, decompile or attempt to derive protected source code except to the extent such activity is expressly permitted by mandatory law;
- systematically scrape, extract or reproduce substantial proprietary database content;
- use automated extraction or copying to create a competing product, database or service substantially derived from a Licensed Work; or
- represent a Licensed Work as certified, approved or endorsed by a manufacturer, standards body, certification body or regulatory authority unless that statement is expressly authorised.
6. Software, web applications and licence activation
Software and web-based Licensed Works may require a valid licence key, purchase verification, session cookie or other entitlement check. The Licensor may use reasonable technical measures to prevent unauthorised access, credential sharing, automated abuse or circumvention.
Where a licence is verified through Gumroad or another licensing provider, the Licensed Work may communicate with the Licensor’s server and that provider to verify entitlement. A licence may be suspended or terminated where there is reasonable evidence of fraud, unauthorised sharing or another material breach of these Terms, subject to mandatory law.
7. Intellectual property
The Licensed Works and their protected elements, including original software code, application logic, documentation, visual material, selection or arrangement of data, original text and other copyrightable content, remain the property of the Licensor or the respective rights holders. All rights not expressly granted are reserved.
8. Templates, publications and educational material
Unless product-specific conditions state otherwise, purchasing a publication, ebook, template or technical document grants a right to use the supplied copy for the authorised user’s own purposes. It does not grant a right to resell, republish, upload, distribute or provide copies of the original work to third parties.
Where a template is licensed for professional use, the Licensee may use it to prepare completed project documents for the Licensee’s own projects, employer or clients, while the reusable source template itself may not be redistributed.
9. Third-party material, trademarks and manufacturer data
A Licensed Work may reference products, technical data, standards, trademarks or other material belonging to third parties. Third-party names and trademarks remain the property of their respective owners. Reference to a third party does not by itself imply sponsorship, partnership, certification or endorsement.
Technical information may change. Where a Licensed Work is used for engineering or other safety-relevant work, current official manufacturer documentation, applicable standards, project requirements and mandatory law remain authoritative for final decisions.
10. Engineering and professional responsibility
Engineering calculators, software and technical resources supplied by ElectroDesigner are decision-support tools. They do not replace professional judgement, project-specific verification, certification or approval by a qualified person where such approval is required.
The Licensee remains responsible for input data, assumptions, selection of applicable standards, interpretation of results, verification of manufacturer ratings, final design decisions and compliance of the completed work with applicable requirements.
Outputs are not guaranteed to be error-free, complete or suitable for a specific project. The Licensee must independently verify relevant inputs, outputs, applicable standards, manufacturer data and project requirements before using an output for design release, procurement, installation or compliance decisions.
11. Updates and modifications
Where updates are included during an active licence period, the Licensor may provide corrections, security updates, data updates, feature improvements or other revisions. Features may be changed or discontinued for technical, legal, security or product-development reasons where permitted by applicable law.
Roadmap items, previews, beta functions and statements about possible future features are not a contractual promise of delivery unless expressly stated otherwise at purchase. Nothing in this section limits mandatory rights relating to conformity, updates or modifications of digital performance.
12. Availability of hosted works
For Licensed Works accessed online, the Licensor will use reasonable efforts to maintain availability but does not guarantee uninterrupted operation. Temporary interruption may result from maintenance, security measures, infrastructure or third-party failures, or circumstances outside the Licensor’s reasonable control.
Any mandatory rights concerning availability or conformity remain unaffected.
13. Purchase and payment platforms
Licensed Works may be sold through Gumroad or another authorised payment platform. Payment processing, checkout, transaction taxes, receipts and related payment administration may be handled by that platform under the terms presented during purchase. The licence to use the Licensed Work is governed by these Terms and the applicable product-specific conditions.
14. Refunds, withdrawal and consumer rights
Any mandatory consumer rights, statutory remedies and rights of withdrawal that apply to a transaction remain unaffected. Where access to digital content or digital functionality begins immediately after purchase, specific statutory rules may apply to commencement of performance and withdrawal rights.
Any voluntary refund or money-back guarantee offered for a particular Licensed Work is additional to mandatory rights and is governed by the conditions displayed for that offer. Refund processing for purchases made through a third-party payment platform may also be subject to that platform’s procedures.
15. Defects and conformity
Where mandatory law provides rights relating to defects, conformity, updates or digital performance, the Licensee retains those rights. Nothing in these Terms excludes or reduces rights that cannot lawfully be waived.
16. Limitation of liability
To the maximum extent permitted by applicable law, the Licensor is not responsible for indirect or consequential loss caused by incorrect input data, misuse of a Licensed Work, unverified third-party information, or reliance on a Licensed Work outside its stated scope.
For Licensees acting in the course of business or professional activity, and to the maximum extent permitted by law, the Licensor’s aggregate contractual liability arising from a particular paid Licensed Work shall not exceed the licence fees paid for that Licensed Work during the twelve months preceding the event giving rise to the claim.
This limitation does not apply where liability cannot legally be excluded or limited. Mandatory consumer rights remain unaffected.
17. Termination
The Licensor may suspend or terminate a licence for a material breach of these Terms, including unauthorised redistribution, deliberate credential sharing, circumvention of technical protection or systematic extraction of protected content. Where appropriate and reasonably possible, the Licensee may first be given an opportunity to remedy the breach.
Upon termination, the Licensee must stop using any functionality or copies for which the licence has ended, except where continued possession or use is required or permitted by mandatory law or the applicable product-specific conditions.
18. Privacy
Personal data associated with a Licensed Work is processed in accordance with the applicable privacy information. Third-party payment or licensing providers process data under their own privacy practices. Licensees should avoid placing confidential or personal information into engineering project names, notes or uploads unless the applicable product documentation expressly supports that use.
19. Governing law
Unless mandatory law requires otherwise, these Terms are governed by the laws of the Slovak Republic. If the Licensee is a consumer, this choice of law does not deprive the Licensee of mandatory protections that apply under the law that cannot be contractually excluded.
20. Changes to these Terms
The Licensor may update these Terms for future transactions. The version made available for a purchase will generally govern that purchase or licence period. Material changes that disadvantage an existing Licensee will not be applied retroactively unless permitted or required by applicable law or reasonably necessary for security or legal compliance.
21. Severability and entire agreement
If a provision of these Terms is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law. These Terms together with the applicable product-specific conditions form the licence agreement for the relevant Licensed Work.
